Please read the following terms and conditions carefully before making a transaction. FD.SG reserves the right to amend the terms and conditions anytime, with or without prior notice to customers (hereon referred to as “FD.SG User, Distributor, and Merchant). As an FD.SG user, it is your responsibility to know and regularly update yourself on these terms and conditions so as to fully understand your rights and privileges.

- Price variation
Price estimates are based on FD.SG current costs of production and, unless otherwise agreed, are subject to amendment on or at any time after acceptance, where such amendment is required in order to meet any rise or fall in such costs.
3.Tax
FD.SG is under FD.SG Marketing and it is a GST registered Business.
- 4.Definitions
The following terms shall have the following respective meanings:
4.1 “Merchant” means a third party who shall supply or provide the goods and/or services for which a Voucher can be redeemed.
4.2 “Register” means creating an account on the Website or Mobile app.
4.3 “Voucher” means a voucher purchased by the user through the Website to exchange or redeem for the Voucher Products from a particular or relevant Merchant.
4.4 “Website” refers to fd.sg and all their related landing pages or microsites and their mobile app / mobile web equivalents.
4.5 “Promotions” means the discount or freebies that Merchants are offering.
4.6 “Promo code” means series of letters or numbers that allow you to get a discount or freebies
- Copy
Where any additional work of whatever nature is necessary as a result of copy supplied by a customer not being clear and/or legible, we shall be entitled to make additional charges on a time and materials basis to cover such additional work.
- Copyright
You are solely responsible for your use of Content in combination with any other images, graphics, text or other materials you incorporate into your Products. You agree that you will not include any text, image, design, trademark, service mark, or any copyrighted work of any third party in your Products unless you have obtained the appropriate authorizations from the owners. You warrant that your Products do not infringe upon any rights of any third party, including copyright, trademark, the right of publicity or privacy, and will not libel or defame any third party and that you have all required rights or permissions necessary to incorporate third party material into your Products. By placing an order on this Site, you warrant that you have all necessary permission, right and authority to place the order and you authorize FD.SG to produce the Products on your behalf.
- Voucher and Promotions
All promotions and vouchers are subject to change without prior notice by the Merchant. Personal information may use to download or avail the promotion and voucher. You approve to state the accurate, true and up to date information on any registration form on the website.
Downloaded vouchers and freebies are not for sale or use to any other form to business unless Company has prior agreement.

8.1 Applicability of the Terms and Conditions: Your usage of the Website, any of the Services, any Purchase made and/or any other transactions that may be performed or conducted through the Website are each subject to these Terms and Conditions.
8.2 Eligibility: To use the Website, to download voucher or promo code you must be 18 years of age above.
8.3 Scope: Commercial use for any business purposes or use on behalf of any third party is prohibited, except as explicitly permitted by us in advance. For the avoidance of doubt, scraping of the Website (and hacking of the Website) is not allowed.
8.4 Prohibitions and Prevention of usage: You shall not abuse, commit an offense and create malicious activity with the Website. We reserve the right, at our own discretion, to prevent you from using the Website, the Services (or any part of them) and/or from making any Purchase.
8.5 Equipment: Your agreement to use the Services, the Website and/or the making of any Purchase does not include the provision of a computer or any other necessary equipment by us to you in achieving any of the said purposes. We shall not be liable for any telephone costs, telecommunications costs or other costs that you may incur in connection with the same.
9. Account Registration
9.1 Merchant – you need to input your company details, name, email, and address and contact number. You agree to provide true and accurate information.
9.2 User- you need to input your personal details such as name, contact number, email address.
9.2 Distributor –you need to input your personal details, copy of your identification card, bank details, email address and contact number.
9.3 By submitting your personal information to account registration, you acknowledge that you agree and accept our personal data notice and expressly consent to authorize us to process your personal data for such purposes as set out in the notice. Please see our Privacy Policy for more details about this. You shall not misuse the Website by creating multiple user accounts and we reserve the right to decline a new registration or to cancel a registered account at any time if we may deem fit.
10. Liability
FD.SG gives no warranties or guarantees or makes any representations as to the merchantability or fitness for a particular purpose of any completed work the subject of a customer’s order and all other warranties, conditions, guarantees or representations, whether express or implied, oral or in writing, except as expressly stated in these terms and conditions are hereby excluded. FD.SG shall not be liable for any loss arising from delay in transit not caused by FD.SG. Further, FD.SG shall not be liable for any indirect, special or consequential damages, loss of profits, economic loss, loss of goodwill or loss of anticipated savings or loss of data. The total aggregate liability of FD.SG in respect of any and all causes of action arising out of or in connection with the customer’s order and FD.SG’s performance of services pursuant to such order (whether for breach of contract, strict liability, tort (including, without limitation, negligence), misrepresentation or otherwise) shall (subject to the provisions of paragraph 10) be limited to the sums paid to FD.SG by the customer in respect of the order pursuant to which liability has arisen. Nothing in these terms and conditions shall be construed so as to limit or exclude liability which cannot be excluded or limited including for death or personal injury or liability in respect of fraud or fraudulent misrepresentation.
11.Insolvency
If the customer ceases to pay its debts in the ordinary course of Business or cannot pay its debts as they become due or being a company is deemed to be unable to pay its debts or has a winding-up petition issued against it or being a person commits an act of bankruptcy or has a bankruptcy petition issued against it, FD.SG without prejudice to other remedies shall (i) have the right not to execute the contract or any other work for the customer and be entitled to charge for work already carried out (whether completed or not) and materials purchased for the customer, such charge to be an immediate debt due to FD.SG and (ii) in respect of all unpaid debts due from the customer have a general lien on all goods and property in FD.SG’s possession (whether worked on or not) and shall be entitled on the expiration of 14 days’ notice to dispose of such goods or property in such manner and at such price as FD.SG thinks fit and to apply the proceeds towards such debts.
12. Illegal Matter
(a) FD.SG shall not be required to print any Matter which in its opinion is or may be of an illegal or libellous nature or an infringement of the proprietary or other rights or any third party.
(b) Without prejudice to paragraph 7 above, the customer shall indemnify and hold FD.SG harmless against all claims, demands, costs, expenses (including but not limited to legal costs and disbursements), losses and damages arising from or suffered or incurred by reason of the work it is required to produce pursuant to a customer order being or alleged to be defamatory.
13. Periodical publications
Save in respect of a material breach and/or in the event that a claim arises under any indemnity set out above a contract for the printing of a periodical publication may not be terminated by either party unless 13 weeks’ notice in writing is given in the case of periodicals produced monthly or more frequently or 26 weeks’ notice in writing is given in the case of other periodicals. Notice may be given at any time but wherever possible should be given after completion of work on any one issue. Without prejudice to the foregoing, FD.SG may terminate any such contract forthwith should any sum due thereunder remain unpaid for a period of 7 or more days from its due date.

15. Force majeure
FD.SG shall be under no liability if it shall be unable to perform any obligation which is owed by it to the customer for any reason beyond his control including (without limiting the foregoing) Act of God, legislation, war, fire, flood, drought, failure of power supply, lock-out, strike or other action taken by employees in contemplation or furtherance of a dispute or owing to any inability to procure materials required for the performance of the contract. During the continuance of such a contingency, the customer may by written notice to FD.SG to terminate the contract and pay for work done and materials used, but subject thereto shall otherwise accept delivery when available.
16. Variation to Terms and Conditions
These terms and conditions may be amended from time to time.
17. Law
These terms and conditions and all other express terms of the contract with customers shall be governed and construed in accordance with law. Courts shall have jurisdiction in relation to any Matters arising in connection with any contract between the FD.SG and the customer into which these terms are incorporated.
18. Interest and other charges
All sums due from the Customer to the Company are payable in accordance with the credit terms agreed. Prompt payment shall be of the essence of the Contract. Sums not paid on due date shall, without prejudice to the Company’s other rights, bear interest at the rate of 2% per month or part of a month from the date of default until the date of payment in full whether or not after judgment. The Company is responsible for all additional costs it incurs as a result of changes in exchange rates between the currency in which it agrees payment, sterling (if not that currency) and the currency of its suppliers. In addition to interest as aforesaid, the Customer will indemnify and pay to the Company on demand any losses or costs it incurs as a result of changes in those exchange rates when payment is made by the Customer after the due date. The Customer shall reimburse any legal or other costs and expenses incurred by the Company pursuing an overdue payment (including interest and other charges) and the amount of any such costs and expenses shall be a debt due to the Company immediately upon notice thereof to the Customer.
19.Sub-Contractors
The Company may at its sole and absolute discretion, sub-contract any or all of its obligations but shall remain liable to the customer, therefore.
20. Intellectual property rights
20.1 All working files/ artwork solely remain as a property of FD.SG unless otherwise agreed as an additional purchase by the customer.
20.2 High-Resolution PDF Files of the COMPLETED ARTWORK Only (Ex. Flyer, Brochure) for printing purposes is given to customers. However, a Separate High-Resolution Image Designed by FD.SG from Scratch, to be extracted from the Completed Artwork is considered an additional purchase.
21. Design
21.1 Minimum charge for Typography, Layout and Color Scheme only.Lead Time: 3-5 days (Except Saturday and Sunday). Express Design has additional charges. Images such as Logos and other articles in the artwork must be provided by the customer, please provide High-Resolution Images.
21.2 STANDARD Number of Rounds for Changes: maximum 3x. The 3 rounds of Amendments are meant for minor amendments to the Existing design and NOT meant for doing an entirely new design.
21.3 Colour Matching and Colour Proof has additional Charges.
22. PHOTO COVERAGE TERMS AND CONDITIONS
In the following terms & conditions “the photographer” shall mean FD.SG Pte Ltd
22.1 “The client(s)” shall be those company/ individuals/ organizations defined in the booking form. These terms & conditions cannot be modified in any way by the client(s) unless such conditions are expressly agreed by the photographer in writing.
- Copyright
The Copyright Designs and Patents Acts assign the copyright of the images to the photographer. - Display
The client(s) hereby allow(s) the photographer to display any photograph covered under this contract and to generally promote the business in advertising, brochures, magazine articles, websites, sample albums etc. - License, Coverage and Reproduction
Photographs taken during the duration of the event will be at the discretion of the
photographer although every effort will be made to comply with the clients
requirements. For certain venues, captured photographs may be obstructed based from the photographer’s position as there may be limitations implemented; the photographer cannot accept responsibility for any obstructed view should this be the case. Due to a variety of lighting conditions and the limitations of digital sensors, some colours may alter throughout a set of photographs. Although all equipment is checked regularly and reasonable steps are taken to
ensure backup equipment is available, the photographer will not be responsible for
photographs that are not produced due to technical failure. - Prices
All standard Photo Coverage Service and additional goods specified on the booking form are supplied at the prices ruling on the date of booking. Goods not specified on the booking form are supplied at the prices ruling at the time of receipt of the order. - Ownership
All digital copies (softcopy) remain the property of the photographer. On
occasion, the photographer may supply a copy of the edited digital copies to the client(s) for their own non-commercial use
